  • For purposes of this Agreement, "competitive entity" includes, without limitation, the following companies doing business as: Wall Street Deli; Paradise Bakery, Inc.; Starbucks; Vie De France; Java City; Brue▇▇▇▇'▇ ▇▇▇el Bakery; Finagle-A-Bagel; Le Boulangerie; Great Harvest; Einstein's/Noah's; Peet's; Corner Bakery; Big Sky, and their respective parents, subsidiaries, franchisees, affiliates, successors or assigns.

  • In light of the highly competitive nature of Paradise Bakery's business, the Seller agrees that all Proprietary Information heretofore obtained by the Seller or any of the Seller's Affiliates as a result of their respective association with Paradise Bakery shall be considered confidential.

  • It is understood by and between the parties hereto that the foregoing covenants by Seller contained in Paragraphs 1 and 2 of this Agreement shall be construed to be agreements independent of any other element of the Seller's sale of Paradise Bakery to the Company.

  • SBBC presently sells certain baked goods to Starbucks Coffee Company ("Starbucks") for resale by Starbucks to its retail customers, including baked goods such as cookies, muffins, brownies and cinnamon rolls that are similar to the Paradise Bakery baked goods listed in the Food Prep Guide, but that differ in ingredients or recipes in one or more respects.

  • This component of the purchase price shall be broken into two segments: a) Purchases by Paradise Bakery and Cafe Company owned stores and b) Purchases by franchised Paradise Bakery and Cafes.

The term does not include food service establishments nor home cake decorators.

  • Parade means any procession or body of pedestrians, except members of the Armed Forces, numbering more than 30, standing, marching or walking on any street or sidewalk, or any group of vehicles numbering ten or more, except funeral processions, standing or moving on any street;
