Parent 401(k) Plan definition

Parent 401(k) Plan has the meaning set forth in Section 6.6(e).

Parent 401(k) Plan means a defined contribution plan that is sponsored by Parent or one of its Affiliates that is qualified under Section 401(a) of the Code and that includes a qualified cash or deferred arrangement within the meaning of Section 401(k) of the Code.

Parent 401(k) Plan shall have the meaning set forth in Section 4.11(f).

• The Company and Parent shall take any and all actions as may be required to permit the Continuing Employees who are then actively employed to make rollover contributions of “eligible rollover distributions” (within the meaning of Section 401(a)(31) of the Code) to the Parent 401(k) Plan of distributions in the form of cash, Parent Common Stock or a combination thereof from the ESOP.

• In the event that Parent requests that the Company 401(k) Plan be terminated pursuant to Section 7.03(e), each Continuing Employee shall be eligible to become a participant in the Parent 401(k) Plan as soon as administratively practicable after the Effective Time (giving effect to the service crediting provisions of Section 7.03(c)).
