Parent Certificate definition

Parent Certificate means a certificate representing shares of Parent Common Stock.

Parent Certificate means the Certificate of Incorporation of Parent.

Parent Certificate shall have the meaning set forth in Section 4.1.

More Definitions of Parent Certificate

Parent Certificate means a certificate to the effect that each of the conditions specified in clauses (a) through (d) (insofar as clause (c) relates to an action, suit or proceeding involving, or a judgment, order, decree, stipulation or injunction against, any Seller) of Section 5.1 is satisfied.

Parent Certificate means a certificate to the effect that each of the conditions specified in Section 6.2 of this Agreement is satisfied in all respects.
