Parent Commission Filings definition

Parent Commission Filings means any forms, reports, schedules, statements, registration statements and other documents filed by Parent or its Subsidiaries pursuant to the federal securities laws and the Commission’s rules and regulations, including those filed after the date hereof.

  • Parent has filed all Parent Commission Filings with the Commission since January 1, 2003.

  • Except as otherwise disclosed in the Parent Commission Filings, since December 31, 1996 there has not been any Parent Material Adverse Effect.

  • Except as contemplated by this Agreement or as disclosed in the Parent Disclosure Schedule or in the Parent Commission Filings, since June 30, 1998, the Parent and the Parent Subsidiaries, taken as a whole, have conducted their business only in the ordinary and usual course, and there has not occurred any change, effect, condition, event or circumstance which has a Parent Material Adverse Effect.

  • Parent has timely filed with the Securities and Exchange Commission ("SEC") and made available to Seller all periodic reports, annual reports to stockholders and proxy statements required to be filed by it during the last two fiscal years, under the Exchange Act (such periodic reports and other documents, together with any amendments thereto, are sometimes collectively referred to as the "Parent Commission Filings").

  • Except as disclosed in the Parent Commission Filings or on the Parent Disclosure Schedule, and except for liabilities arising since June 30, 1998 in the ordinary course of business, there are no liabilities of the Parent or any of its subsidiaries of any kind whatsoever, whether accrued, contingent, absolute, determined, determinable or otherwise, that would have a Parent Material Adverse Effect.

  • Required Filings shall have the meaning specified in the Pledge and Security Agreement.

  • Company Filings means all documents publicly filed by or on behalf of the Company on SEDAR since January 1, 2020.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Public Filings has the meaning set forth in Section 6.1(c).

  • SEC Filings has the meaning set forth in Section 4.6.

  • Company Reports has the meaning set forth in Section 3.08(a).

  • Company Proxy Statement has the meaning set forth in Section 3.5.

  • Governmental Filings means all filings, including franchise and similar tax filings, and the payment of all fees, assessments, interests and penalties associated with such filings with all Governmental Authorities.

  • Joint Proxy Statement shall have the meaning set forth in Section 6.3(a).

  • Joint Proxy Statement/Prospectus has the meaning set forth in Section 6.1(a).

  • Required Filing Date has the meaning set forth in Section 3.1.

  • Disclosure Documents is defined in Section 5.3.

  • SEC means the Securities and Exchange Commission.

  • HSR Filing means filings with the United States Federal Trade Commission and the Antitrust Division of the United States Department of Justice of a Notification and Report Form for Certain Mergers and Acquisitions (as that term is defined in the HSR Act) with respect to the subject matter of this Agreement, together with all required documentary attachments thereto.

  • Parent SEC Reports has the meaning set forth in Section 4.5(a).

  • Commission Comments means written comments pertaining solely to Rule 415 which are received by the Company from the Commission, and a copy of which shall have been provided by the Company to the Holder, to a filed Registration Statement which limit the amount of shares which may be included therein to a number of shares which is less than such amount sought to be included thereon as filed with the Commission.

  • Filings the filing or recording of (i) the Financing Statements as set forth in Schedule 3, (ii) this Agreement or a notice thereof with respect to Intellectual Property as set forth in Schedule 3, and (iii) any filings after the Closing Date in any other jurisdiction as may be necessary under any Requirement of Law.

  • Disclosure Statement Approval Order means the Final Order approving, among other things, the adequacy of the Disclosure Statement pursuant to section 1125 of the Bankruptcy Code.

  • Other Filings has the meaning set forth in Section 6.8(a).

  • SEC Documents shall have the meaning specified in Section 4.5.

  • Proxy Statement has the meaning set forth in Section 6.03(a).

  • Parent SEC Documents has the meaning set forth in Section 4.6(a).

  • Company Approvals has the meaning set forth in Section 3.5(b).

  • Proxy Statement/Prospectus has the meaning set forth in Section 6.03(a).

  • Public Reports includes all reports filed by Company under the Act or the Exchange Act, including pursuant to Section 13(a) or 15(d) thereof, for the two full fiscal years preceding the Effective Date and thereafter.
