Parent Compensation Committee definition
Parent Compensation Committee means the Compensation Committee of the Parent Board.
Parent Compensation Committee means the Executive Compensation and Management Resources Committee of Parent or such other committee designated by the Parent Board to administer the Parent Equity Plans.
Parent Compensation Committee is defined in Section 2.9(i).

Any adjustments made by the Parent Compensation Committee pursuant to the foregoing sentence shall be deemed incorporated by reference herein as if fully set forth below and shall be binding on the Parties and their respective Affiliates.
Each Parent RSU Award that is outstanding as of immediately prior to the Effective Time shall be adjusted as described below; provided, however, effective immediately prior to the Effective Time, the Parent Compensation Committee may provide for different adjustments with respect to some or all Parent RSU Awards to the extent that the Parent Compensation Committee deems such adjustments necessary and appropriate.
