Parent Contractor definition

Parent Contractor means each individual independent contractor or consultant (other than a Lithium Contractor) of any member of the Parent Group, or solely for purposes of ‎Article VIII, any non-employee director of the Parent Board.
Parent Contractor has the meaning set forth in Section 3(l)(vii) below.

  • Also set forth on Section 3(l)(vii)(A) of the Disclosure Schedule is a true and complete list of all written or oral Seller Contractor Agreements and Parent Contractor Agreements which have one or more continuing obligations as of the date hereof and as of the Closing Date by Seller or Parent.

  • Except as set forth on the Parent Disclosure Schedule, Parent has no Knowledge that any officer, director, manager, employee or consultant of Parent or its Subsidiaries (collectively, the “Parent Contractors”) intends to terminate his or her employment or other engagement with Parent or any of its Subsidiaries, nor does Parent or any Subsidiary have a present intention to terminate the employment or engagement of any such Parent Contractor.

  • Parent Contract means any Contract: (a) to which Parent is a party; (b) by which Parent or any Parent IP or any other asset of Parent is or may become bound or under which Parent has, or may become subject to, any obligation; or (c) under which Parent has or may acquire any right or interest.

  • Replacement Contractor means any third party service provider appointed by the Authority to supply any services which are substantially similar to any of the Services and which the Authority receives in substitution for any of the Services following the expiry, termination or partial termination of the Contract.
