Examples of Parent Intellectual Property Assets in a sentence
A list of (i) all Parent Intellectual Property Assets, including an indication whether the Parent Entity Intellectual Property Assets are owned by a Parent Entity or a third party, and (ii) each license, agreement or other arrangement (written or oral) relating to the Parent Entity Intellectual Property Asset to which a Parent Entity is a party can be found in the Parent's public filings.
Parent has previously provided the Company with a complete and accurate list of all material contracts and agreements relating to the Parent Intellectual Property Assets to which Parent is a party or by which Parent is bound, except for any license implied by the sale of a product and perpetual, paid- up licenses for commonly available software programs with a value of less than $15,000 under which Parent is the licensee as set forth in the Parent Disclosure Statement.
Except as previously provided in the Parent Disclosure Statement, Parent is the owner of all right, title, and interest in and to each of the Parent Intellectual Property Assets, free and clear of all liens, security interests, charges, encumbrances, and other adverse claims, and has the right to use without payment to a third party of all the Parent Intellectual Property Assets.
As used herein, "Parent Intellectual Property Assets" shall mean the Intellectual Property Assets used or owned by the Parent or any of its subsidiaries.
