Parent Personnel definition

Parent Personnel means any current or former director, officer, employee, independent contractor or consultant of Parent or any of its Subsidiaries.

  • From January 1, 2008, to the date of this Agreement, there has been no work stoppage, strike, slowdown or lockout by or affecting Parent Personnel and, to the knowledge of Parent, no such action has been threatened in writing, except in each case as, individually or in the aggregate, has not had and would not reasonably be expected to have a Parent Material Adverse Effect.

  • Each Parent Employee Plan that is not an agreement with any Parent Personnel can be amended, terminated or otherwise discontinued prior to the Effective Time in accordance with its terms, without Liability to Parent or the Company (other than ordinary administration expenses).

  • The Company hereby engages Parent as a financial and management consultant, and Parent hereby agrees to provide financial and management consulting services to the Company, directly through its Parent Personnel, on the terms and conditions set forth herein.

  • The Company shall use its best efforts to assist Parent and Parent Personnel in obtaining the necessary visas and other permits required in order to allow them to perform the services hereunder.

  • The Company desires to receive financial and management consulting services from Parent and its Parent Personnel (as defined below), and to obtain the benefit and experience of Parent in business and financial management generally and its knowledge of the Company and the Company's industry in general.

  • Neither Parent nor its Parent Personnel nor any of their affiliates, officers, employees or agents shall be liable to the Company or its subsidiaries or affiliates for any loss, liability, damages or expense arising out of or in connection with the performance of services under this Agreement, unless such loss, liability, damages or expense shall be proven to result directly from the gross negligence or willful misconduct of Parent or its Parent Personnel.

  • Parent and its Parent Personnel shall perform services hereunder as independent contractors, retaining control over and responsibility for its own operations and personnel.

Related to Parent Personnel

  • Company Personnel means any current or former director, officer, employee, contractor or consultant of the Company or any of its Subsidiaries;

  • Specified Personnel means the personnel specified in the Contract to provide the Services.

  • Personnel means persons hired by the Service Provider or by any Subcontractor as employees and assigned to the performance of the Services or any part there of;
