Parent Reports has the meaning set forth in Section 4.5(a).
Parent Reports means the reports, forms, proxy statements, prospectuses, registration statements and other statements, certifications and documents that are required to be or are otherwise filed with or furnished to the SEC pursuant to the Exchange Act or the Securities Act by Parent, including notes, exhibits and schedules thereto and all other information incorporated by reference and any amendments and supplements thereto.
Parent Reports shall have the meaning specified in Section 5.07(a).
Examples of Parent Reports in a sentence
None of the Parent Reports contained, when filed with the SEC or, if amended, as of the date of such amendment, any untrue statement of a material fact or omitted to state a material fact required to be stated or incorporated by reference therein or necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading.
As of the date hereof, there are no outstanding or unresolved comments in comment letters received from the SEC staff with respect to the Parent Reports.
More Definitions of Parent Reports
Parent Reports means all forms, reports, statements and all other documents required to be filed by the Parent with the SEC since November 10, 1999.
