Parent Resolutions definition

Parent Resolutions means the special resolutions of the shareholders of Parent as are necessary to approve the Arrangement as set out in the Plan of Arrangement.
Parent Resolutions means the shareholder resolutions, substantially in the form attached to this Agreement as Exhibit C, to be considered at the Parent Meeting.
Parent Resolutions means the special resolution of Parent Shareholders to approve the Domestication (and, to the extent the Class A Restricted Voting Shares and the Parent Warrants are listed on NASDAQ prior to the Closing, the Transactions) at the Parent Shareholder meeting.

  • No affirmative vote of the holders of the securities of the Company or any of its Subsidiaries, other than the Parent Resolutions, is necessary to approve and adopt this Agreement and the Transactions.
