Parent Subsidiary Charter Documents definition

Parent Subsidiary Charter Documents means the certificate of incorporation, articles of incorporation, certificate of formation, certificate of limited partnership, bylaws, limited liability company agreement, operating agreement, partnership agreement or other governing or organizational documents of each of the Parent Subsidiaries.
Parent Subsidiary Charter Documents means the certificate of incorporation, articles of incorporation, bylaws, limited liability company operating agreement, partnership agreement or other governing organizational documents of each of the Parent Subsidiaries. Parties is defined in the Recitals. Party is defined in the Recitals. Per Share Cash Consideration is defined in Section 2.4(c)(i)(B). Per Share Stock Consideration is defined in Section 2.4(c)(i)(B).

Examples of Parent Subsidiary Charter Documents in a sentence

  • All outstanding ownership interests of such Subsidiaries are validly issued and fully paid and nonassessable (to the extent such concepts apply), and free of preemptive or similar rights under any provision of applicable Law, the Parent Subsidiary Charter Documents (as defined below), or any agreement to which the Subsidiaries are a party or otherwise bound.

  • The Parent Subsidiaries are not in violation of their respective Parent Subsidiary Charter Documents.

  • Neither Parent nor any of its Subsidiaries is in violation of any of the provisions of the Parent Charter Documents or Parent Subsidiary Charter Documents, as the case may be.
