Parent Tax Group definition

Parent Tax Group means (i) Parent, (ii) any Person that is or was a Subsidiary of Parent at any time prior to the Distribution, excluding each member of the Spinco Tax Group, and (iii) any Person that becomes a Subsidiary of Parent at any time after the Distribution.
Parent Tax Group means Parent and each of its Subsidiaries, including any corporations that would be members of an affiliated group if they were includible corporations under Code Section 1504(b) (in each case, including any successors thereof), but excluding any entity that is a member of the Galleria Tax Group.
Parent Tax Group means any affiliated, consolidated, combined or unitary group (including any affiliated group of corporations as defined in Section 1504(a) of the Code) of which Parent or any of its Affiliates is a member.

Examples of Parent Tax Group in a sentence

  • Prior to the Distribution, the Parties shall terminate all Tax allocation or sharing agreements that are exclusively between one or more members of the Spinco Tax Group, on the one hand, and one or more members of the Parent Tax Group, on the other hand (other than this Agreement).

  • Parent shall timely prepare, or cause to be prepared, all Tax Returns of the Parent Tax Group and the Spinco Tax Group for any taxable period beginning before the Distribution Date other than Tax Returns described in Section 3.02.

  • Parent shall be responsible for any wage or payroll withholding Taxes attributable to the exercise or vesting of options or payment of compensation described in clauses (i) and (ii) above, to the extent that such liability is a legal obligation of the Parent Tax Group as employer.

  • Notwithstanding anything to the contrary in this Agreement, in no event shall Parent be required to deliver a copy of, or information in respect of, any Tax Return of a Parent Tax Group (other than a group that consists exclusively of Acquired Companies).

  • Enova and the members of the Enova Tax Group shall be liable for, and shall indemnity and hold harmless the Parent Tax Group in accordance with Article VII from and against any liability for Taxes which are allocated to Enova or any member of the Enova Tax Group under this Article III.

More Definitions of Parent Tax Group

Parent Tax Group means the Affiliated Group, or similar group of entities as defined under corresponding provisions of the laws of other jurisdictions, of which Parent is the common parent corporation, and any corporation or other entity which may be, may have been or may become a member of such group from time to time, but excluding any member of the Enova Tax Group.
Parent Tax Group means any group that files a consolidated, combined or unitary non-U.S. or U.S. federal, state or local Tax Return relating to Income Taxes with respect to any Pre-Closing Tax Period of which Parent or any of its Subsidiaries (other than any of the Transferred Subsidiaries) is a parent.
Parent Tax Group means Parent and any other company or companies (other than any Target Company or Company Subsidiary) which either are or become after Closing, or have within the six years ending at Closing been, treated as members of the same group as, or otherwise connected or associated in any way with, Parent for any Tax purpose.
Parent Tax Group means the Affiliated Group of which the Parent is the common parent.
Parent Tax Group has the meaning assigned to such term in Section 7.6(h).
Parent Tax Group means any consolidated, combined, unitary or other Tax group that includes both (a) any of the Transferred Entities and (b) Parent, the Seller Subsidiary and/or any of the Seller Subsidiary’s Affiliates (other than the Transferred Entities).
