Pari Passu Guarantees definition

Pari Passu Guarantees shall have the meaning provided in Section 8.18 of this Agreement.

Pari Passu Guarantees means Guarantees granted by Subsidiaries (other than the Borrower) in favor of the holders of (i) any of the Borrower's or the Parent's senior unsecured long-term debt securities, (ii) other facilities that the Borrower or the Parent may be required to treat on a PARI PASSU basis with other senior unsecured indebtedness or (iii) the obligations of the Borrower or the Parent under the Five-Year Credit Agreement.
