Partner Schedule means a schedule, substantially in the form attached hereto as Exhibit A and executed by the General Partner and a Limited Partner (including the Original Limited Partners and any Additional Limited Partner or Substituted Limited Partner), that shall set forth, with respect to a Limited Partner to which Partnership Units are issued pursuant to this Agreement; (i) the Gross Asset Values, as determined by the General Partner and agreed to by the contributing Limited Partner, for any Contributed Property contributed by such contributing Limited Partner; and (ii) the initial Partnership Units issued to such Limited Partner.

Examples of Partner Schedule in a sentence

  • Each party shall become bound by this Agreement immediately upon affixing its signature hereto or upon execution of a Partner Schedule.

  • When any such other Units or other Equity Securities are authorized and issued, the Partner Schedule and this Agreement shall be amended by the General Partner to reflect such additional issuances.

  • Notwithstanding any other provision of this Agreement, the Partnership shall have the right, but not the obligation, from time to time and at any time to redeem some or all of the outstanding Limited Partner Interests of any Limited Partner, subject to any restrictions or limitations set forth in the Partner Schedule for such Limited Partner.

Related to Partner Schedule

  • Shift Schedule means a written statement setting forth the days and hours upon which the employees are required to work.

  • Schedule of Members has the meaning set forth in Section 3.01(b).
