PARTNER TRANSFEREE definition

PARTNER TRANSFEREE has the meaning set forth in Section 2.2.
PARTNER TRANSFEREE has the meaning ascribed to such term in the Stockholders Agreement.
PARTNER TRANSFEREE any Person or entity, other than a Partner, to whom a Transferor Partner purports to Transfer its Partnership Interest. "PARTNERS" -- General Partner, Affiliated Partner and Nonaffiliated Partner, and "Partner" means any of the Partners.

  • Notwithstanding anything to the contrary contained in this Agreement, but subject to Sections 2.3 and 2.4, at any time, (a) each Stockholder may transfer all or a portion of its Shares to any of its Permitted Transferees, and (b) each Major Stockholder (each in such capacity, a "PARTNER TRANSFEROR") may Transfer any Common Stock held by it, in whole or in part, to its or its successor's members, limited partners or general partners (a "PARTNER TRANSFEREE").
