Partnership Unitholder definition

Partnership Unitholder means each holder of one or more Exchangeable Units that is a party hereto as of the date hereof or that becomes a party to this Agreement pursuant Section 4.1.
Partnership Unitholder has the meaning set forth in the Merger Agreement.
Partnership Unitholder means a holder of Partnership Units.

  • The parties hereto intend to treat any Exchange consummated hereunder as a taxable exchange for U.S. federal and applicable state and local income tax purposes except as otherwise agreed to in writing by the exchanging Partnership Unitholder and the Company or required by applicable law.

  • In connection with any Exchange between a Partnership Unitholder and the Partnership, the Company shall contribute to the Partnership the shares of Class A Common Stock or Cash Settlement that the Partnership Unitholder is entitled to receive in such Exchange.

  • The decision of each Partnership Unitholder to enter into this Agreement has been made by such Partnership Unitholder independently of any other Partnership Unitholder.

Related to Partnership Unitholder

  • Common Unitholder means a Member who is the registered holder of Common Units.

  • Partnership Unit means a fractional, undivided share of the Partnership Interests of all Partners issued hereunder. The allocation of Partnership Units among the Partners shall be as set forth on Exhibit A, as may be amended from time to time.

  • Partnership Units or “Units” has the meaning provided in the Partnership Agreement.

  • LTIP Unitholder means a Partner that holds LTIP Units.
