Patent Award definition

Patent Award means (a) the gross proceeds of any monetary judgment or award, including pursuant to a settlement, actually received by Buyer or the Surviving Corporation in connection with the Patent Claim, less (b) any and all costs and expenses directly related to the Patent Claim (including all costs and expenses relating to obtaining or negotiating such award or settlement, as the case may be) incurred by Buyer or the Surviving Corporation following the Effective Time.
Patent Award means any award given to an Inventor relating to the attainment of patent protection for a particular invention, which may include, as examples, a Disclosure Submission Award, Invention File Award, Invention Issuance Award, High Value Patent Award , Patent Proof Development Award, and/or a National Achievement Award.

Examples of Patent Award in a sentence

  • For the avoidance of doubt, if Buyer or the Surviving Company (i) fails to receive the Patent Award, whether within such period or at any time thereafter, or (ii) receives the Patent Award after the period described in Section 2.17(a), then Buyer shall have no obligation hereunder to pay to any Person any portion of the Patent Award, if any, as Additional Consideration and shall be entitled to retain the full amount of the Patent Award, if any.

  • If the Company files an original United States patent application covering any invention of which I am a named inventor, I will receive an inventor’s award commensurate with the company U.S. Patent Award Program.
