More Definitions of PCAOB Financials

PCAOB Financials shall have the meaning set forth in Section 7.18.

PCAOB Financials has the meaning ascribed to such term in Section 5.5 hereof.

PCAOB Financials means (a) the audited consolidated balance sheets of Xxxxxxx and the Target Companies for the years ended December 31, 2021 and December 31, 2022, and the related audited consolidated statements of operations and comprehensive loss, changes in equity and cash flows for such years, each to be prepared in accordance with GAAP and audited in accordance with the auditing standards of the PCAOB by an internationally recognized audit firm as is reasonably acceptable to SPAC, together with an audit report thereon from the auditor, and (b) the unaudited consolidated balance sheet of Xxxxxxx and the Target Companies as at June 30, 2023, and the related unaudited consolidated statement of operations and comprehensive loss, changes in equity and cash flows for such six-month period, prepared in accordance with the standards of the PCAOB.
