Peer Group SPP Chart definition

Peer Group SPP Chart means a chart containing (i) the ordinal rankings of the SPPs of the members of the Peer Group, with the highest SPP being ranked first and (ii) the percentage of Phantom Shares subject to subclause (ii) of Paragraph 2(a) that become vested Phantom Shares at each SPP Performance Rank.
Peer Group SPP Chart means the following chart: Company SPP Rank SPP Performance Earned Percentage 1st 100% 2nd 100% 3rd 100% 4th 90% 5th 80% 6th 70% 7th 60% 8th 50% 9th 40% 10th 30% 11th 20% 12th 10% 13th 0% 14th 0% 15th 0% 16th 0% If the number of members of the Peer Group decreases prior to the end of a Performance Period, the Company SPP Rank shall be determined as follows: (i) the Company’s SPP shall be ranked among the SPPs of the remaining members of the Peer Group on of the last day of such Performance Period, with the highest SPP being ranked first, (ii) the rank of the Company’s SPP among the remaining members of the Peer Group on the last day of such Performance Period shall then be multiplied by a fraction, the numerator of which is 16 and the denominator of which is the number of members of the Peer Group on the last day of such Performance Period, and (iii) the number obtained in subclause (ii) shall be the Company SPP Rank on the Peer Group SPP Chart.
Peer Group SPP Chart means the following chart: Company SPP Rank SPP Performance Vesting Percentage SPP Performance Phantom Shares SPP Performance Cash Amount 1st 150.00% 159,555 $450,000 2nd 142.00% 159,555 $400,000 3rd 135.00% 159,555 $350,000 4th 128.00% 159,555 $300,000 5th 121.00% 159,555 $250,000 6th 114.00% 159,555 $200,000 7th 107.00% 159,555 $150,000 8th 100.00% 159,555 $100,000 9th 88.00% 144,191 $0 10th 75.00% 122,890 $0 11th 63.00% 103,228 $0 12th 50.00% 81,927 $0 If the number of members of the Peer Group decreases, the Company SPP Rank shall be determined as follows: (i) the Company’s SPP shall be ranked among the SPPs of the remaining members of the Peer Group on of the last day of the Performance Period, with the highest SPP being ranked first, (ii) the rank of the Company’s SPP among the remaining members of the Peer Group on the last day of the Performance Period shall then be multiplied by a fraction, the numerator of which is sixteen (16) and the denominator of which is the number of members of the Peer Group on the last day of the Performance Period, (iii) the number obtained in subclause (ii) shall be the Company SPP Rank on the Peer Group SPP Chart and (iv) if such Company SPP Rank is not a whole number, then, if (A) the Combined Performance Rank Requirement is not met, the Company SPP Rank will be rounded to the nearest whole number, with fractional values of 0.5 and greater rounded to the next highest whole number and fractional values below 0.5 rounded to the next lowest whole number or (B) the Combined Performance Rank Requirement is met, no rounding shall occur.

Related to Peer Group SPP Chart

  • Peer Group means the group of companies, as more particularly set forth on attached Exhibit A, against which the Relative Total Shareholder Return of the Company is measured over the Incentive Period.

  • Peer Group Companies means the following companies: .

  • Peer Companies means the following companies which remain publicly traded throughout the entire TSR Measurement Period: AbbVie GlaxoSmithKline Amgen Johnson & Xxxxxxx AstraZeneca Merck Biogen Novartis Celgene Pfizer Xxx Xxxxx Xxxxx Gilead Sciences Sanofi Companies that were publicly traded as of the Award Date but are no longer publicly traded as of the end of the TSR Measurement Period shall be excluded, except that companies that are no longer publicly traded as of the end of the TSR Measurement Period due to filing for bankruptcy prior to the end of the TSR Measurement Period shall be assigned a Total Shareholder Return of -100% for the TSR Measurement Period. In the case of a merger or acquisition involving two Peer Companies during the TSR Measurement Period, the acquiree or merged company, as the case may be, shall be removed from the list of Peer Companies, and the acquirer or successor company, as the case may be, shall remain on the list of Peer Companies. In the case of a spinoff involving a Peer Company during the TSR Measurement Period, such company shall remain on the list of Peer Companies, provided that it remains an appropriate peer. Any new company formed as a result of the spinoff shall not be added to the list of Peer Companies for the current TSR Measurement Period (however, such company may be added to the list of Peer Companies for subsequent awards, if the Committee deems such inclusion appropriate). For the avoidance of doubt, following the closing of the Company’s acquisition of Celgene Corporation (“Celgene”), Celgene shall be has been removed from the list of Peer Companies.

  • Closing Level : means the official daily Closing Level of the Index as published by the Index Sponsor in relation to each Scheduled Trading Day during the Investment Term.

  • Company Action Level RBC ’ means, with respect to any insurer, the product of 2.0 and its authorized control level RBC;

  • Closing Date Business Plan means the set of Projections of Borrowers for the 3 year period following the Closing Date (on a year by year basis, and for the 1 year period following the Closing Date, on a month by month basis), in form and substance (including as to scope and underlying assumptions) satisfactory to Agent.

  • Material Project EBITDA Adjustments means, with respect to each Material Project:

  • Company action level event means any of the following events:

  • SpinCo Separate Return means any Tax Return of or including any member of the SpinCo Group (including any consolidated, combined, or unitary return) that does not include any member of the Parent Group.

  • Continuing care retirement community means a residential

  • Defined Contribution Plan A retirement plan which provides for an individual account for each participant and for benefits based solely on the amount contributed to the participant's account, and any income, expenses, gains and losses, and any forfeitures of accounts of other participants which the plan may allocate to such participant's account. The Advisory Committee must treat all defined contribution plans (whether or not terminated) maintained by the Employer as a single plan. Solely for purposes of the limitations of Part 2 of this Article III, the Advisory Committee will treat employee contributions made to a defined benefit plan maintained by the Employer as a separate defined contribution plan. The Advisory Committee also will treat as a defined contribution plan an individual medical account (as defined in Code Section 415(l)(2)) included as part of a defined benefit plan maintained by the Employer and, for taxable years ending after December 31, 1985, a welfare benefit fund under Code Section 419(e) maintained by the Employer to the extent there are post-retirement medical benefits allocated to the separate account of a key employee (as defined in Code Section 419A(d)(3)).

  • Pricing Level III shall exist on an Adjustment Date if the Consolidated Leverage Ratio for the relevant period is less than 3.00 to 1.00 but greater than or equal to 2.50 to 1.00.

  • Comparator Group is defined as the following nine U.S. based carriers including, AirTran Airways, Inc., Alaska Air Group, Inc., AMR Corporation, Continental Airlines, Inc., Delta Air Lines Inc., JetBlue Airways Corporation, Southwest Airlines Co., US Airways Group, Inc. and UAL Corporation.

  • Pricing Level II shall exist on an Adjustment Date if the Consolidated Leverage Ratio for the relevant period is less than 3.50 to 1.00 but greater than or equal to 3.00 to 1.00.

  • Performance Measurement Period has the meaning set forth in Section 3.1(e)(ii).
