PERFORMANCE BY. ADMINISTRATIVE AGENT OR ANY LENDER. Should any covenant of Company or any Subsidiary of Company fail to be performed in accordance with the terms of the Loan Papers, Administrative Agent may, at its option, perform or attempt to perform such covenant on behalf of Company or such Subsidiary. Notwithstanding the foregoing, it is expressly understood that neither Administrative Agent nor any Lender assumes, and shall not ever have, except by express written consent of Administrative Agent or such Lender, (a) any liability or responsibility for the performance of any duties or covenants of Company or any Subsidiary of Company or (b) any implied or fiduciary duties whatsoever to Company or any Subsidiary of Company.

PERFORMANCE BY means of an injunction against the Seller and against the Seller's partners, agents, representatives, servants, employers, employees, and/or any and all persons acting directly or indirectly by or with it or them, to prevent or restrain any breach or further breach. In the event such Buyer obtains any such equitable relief, the party against whom relief is obtained shall reimburse Buyer for its reasonable attorney's fees and costs related thereto.
