Performance Termination Period means the twelve (12) month period consisting of the six (6) months immediately prior to and including the month in which the Take-Over Date occurs, and the six (6) months immediately thereafter.

  • The Revenue Index of the Hotel during the Performance Termination Period is less than the Revenue Index Threshold for such Performance Termination Period.
