Permitted Issuer Information definition

Permitted Issuer Information means any “issuer information” (as defined in Rule 433 of the Rules and Regulations) used with the prior written consent of the Company in any offering of Registrable Securities pursuant to Section 2.

More Definitions of Permitted Issuer Information

Permitted Issuer Information means any “issuer information” (as defined in Rule 433) used with the prior written consent of the Company in any offering of Equity Securities pursuant to Section 11. “Permitted Transfer” means: (a) with respect to the Investor, any Transfer by the Investor to an Affiliate of the Investor (including (i) the partners, members and stockholders of the Investor, and, if such Affiliate is an entity, the partners, members and stockholders of such Affiliate, (ii) any limited partner which has directly or indirectly invested, or otherwise has ownership interests, in Fund VI or one of its Affiliated investment funds, or (iii) prior to the first anniversary of the Effective Date, of up to 40% of the Equity Securities held by the Investor as at the Effective Date in the aggregate to any funds, financial institutions, or individuals acting as a co-investor in the Company with the Investor; and (b) with respect to SCL, any Transfer by SCL to (i) any wholly-owned Subsidiary of SCL or (ii) any Existing SCL Controlling Shareholder;

Related to Permitted Issuer Information

  • Issuer Information shall have the meaning set forth in Section 5(a) hereof.

  • Permitted Free Writing Prospectuses, as used herein, means the documents listed on Schedule B attached hereto and each “road show” (as defined in Rule 433 under the Act), if any, related to the offering of the Shares contemplated hereby that is a “written communication” (as defined in Rule 405 under the Act). The Underwriters have not offered or sold and will not offer or sell, without the Company’s consent, any Shares by means of any “free writing prospectus” (as defined in Rule 405 under the Act) that is required to be filed by the Underwriters with the Commission pursuant to Rule 433 under the Act, other than a Permitted Free Writing Prospectus.

  • Statement of Additional Information means, respectively, the form of prospectus and statement of additional information with respect to the Fund filed by the Investment Company as part of the Registration Statement, or as they may be amended or supplemented from time to time.

  • Financing Information means (i) audited consolidated balance sheets and related statements of income, comprehensive income and cash flows of the Company and its Subsidiaries for the three most recently completed fiscal years ended at least 60 days prior to the Closing Date; (ii) unaudited interim consolidated balance sheets and related statements of income, comprehensive income and cash flows of the Company and its Subsidiaries for the fiscal quarter ended at least 60 days prior to the Closing Date (but excluding the fourth quarter of any fiscal year); and (iii) all other information regarding the Company and its Subsidiaries required by Regulation S-X and Regulation S-K under the Securities Act for an offering of securities of Parent on a registration statement filed with the SEC, in each case, of the type that would permit the Company’s independent auditors to deliver customary “comfort” (including customary “negative assurance” comfort) in connection with such offering which such auditors are prepared to provide upon completion of customary procedures.

  • Customer Usage Information means information regarding the historical electricity consumption of a Customer;
