Permitted Receivables Transfer definition

Permitted Receivables Transfer means (i) a sale or other transfer by an Originator to a SPV of Receivables and Related Security for fair market value and without recourse (except for limited recourse typical of such structured finance transactions), and/or (ii) a sale or other transfer by a SPV to (a) purchasers of or other investors in such Receivables and Related Security or (b) any other Person (including a SPV) in a transaction in which purchasers or other investors purchase or are otherwise transferred such Receivables and Related Security, in each case pursuant to and in accordance with the terms of the Receivables Purchase Documents.
Permitted Receivables Transfer means (i) a sale or other transfer by an Originator to a SPV of Receivables and Related Security for fair market value and without recourse (except for limited recourse typical of such structured finance transactions), and/or (ii) a sale or other transfer (including the grant of Liens) by a SPV to (a) purchasers of, lenders on or other investors in such Receivables and Related Security (or interests therein) or (b) any other Person (including a SPV) in a transaction in which purchasers or other investors purchase or are otherwise transferred such Receivables and Related Security (or interests therein including Liens), in each case pursuant to and in accordance with the terms of the Receivables Purchase Documents.

More Definitions of Permitted Receivables Transfer

Permitted Receivables Transfer means (i) a sale or other transfer by an Originator to an SPV of Receivables for fair market value and without recourse (except for limited recourse typical of such structured finance transactions), and/or (ii) a sale, pledge or other transfer by an SPV to (a) purchasers of or other investors in such Receivables and related security or (b) any other Person (including an SPV) in a transaction in which purchasers or other investors purchase or are otherwise transferred (including a pledge thereof) such Receivables and related security, in the case of either clause (i) or (ii) above pursuant to and in accordance with the terms of any Receivables Facility; provided that the financing terms, covenants, termination events and other provisions of any such Receivables Facility shall be market terms at the time that such transaction is consummated.

Permitted Receivables Transfer means a sale or other transfer of Permitted Receivables Facility Assets to a Permitted Receivables SPV and/or or third-party lenders or investors in each case pursuant to and in accordance with the terms of the Permitted Receivables Facility Documents.
Permitted Receivables Transfer shall have the meaning assigned to such term in Section 8.05 hereof.

Permitted Receivables Transfer means (i) a sale or other transfer by any Originator to WNC of "Receivables," and "Collections" under, and as such terms are defined in, the Receivables Sale Agreement, in accordance with the terms of the Receivables Sale Agreement, and/or (ii) a sale by WNC to purchasers of "Purchaser Interests" under, and as such term is defined in, the Receivables Purchase Agreement, in accordance with the terms of the Receivables Purchase Agreement.
Permitted Receivables Transfer means (i) a sale or other transfer by the Borrower to PRF of "Receivables" and "Related Security" under and as such terms are defined in the Receivables Sale Agreement, in accordance with the terms of the Receivables Sale Agreement and/or (ii) a sale by PRF to purchasers in accordance with the terms of the Receivables Purchase Agreement.
