Examples of Permitted Venture in a sentence
Merge or consolidate, or permit any of its Subsidiaries to merge or consolidate, with or into any other business organization, or acquire, or permit any of its Subsidiaries to acquire, all or substantially all of the capital stock or property of another Person if no Event of Default has occurred and is continuing or would exist after giving effect to such action, result in a change of more than 25% of Net Worth, other than in connection with Permitted Venture Transactions.
Neither the Borrower nor any of its ---------------------- Subsidiaries shall create, incur, assume, guarantee or be or remain liable with respect to any Guarantees other than (i) Guarantees existing on the date of this Agreement and disclosed on Exhibit C --------- hereto, and (ii) Guarantees resulting from the endorsement of negotiable instruments for deposit or collection in the ordinary course of business, and (iii) Guarantees permitted under the definition of Permitted Venture Investments.

Seller shall be allowed to retain or transfer to the Permitted Venture any employees not identified on Schedule 6.12.
