Perpetual Rights definition

Perpetual Rights means rights of an Investor (and corresponding obligations of the Company and / or Founder Promoter Family towards such Investor) under the Agreement and the following Articles:

Examples of Perpetual Rights in a sentence

  • In the event that this Agreement is terminated, or the Publisher no longer offers the Licensed Materials online, the Licensee and Participating Institutions may use the backup copy to exercise their rights under Section 12 (Perpetual Rights) of this Agreement.

  • In the event that the Agreement is terminated, or the Licensor no longer offers the Licensed Materials online, Licensee and Participating Institutions may use the backup copy to exercise their rights under section XII, Perpetual Rights, of this Agreement.

  • In the event that the Agreement is terminated, or the Suweco no longer offers the Materials online, NTK and Participating Institutions may use the backup copy to exercise their rights under section XII, Perpetual Rights, of this Agreement.

  • In the event that the Agreement is terminated, or the Licensor no longer offers the Licensed Materials online, Participating Institutions may use the backup copy to exercise their rights under section XII, Perpetual Rights, of this Agreement.

  • Such use shall be in accordance with the provisions of this Agreement relating to the use of Licensed Materials, including restrictions on use and related liabilities, which provisions shall survive any termination of this Agreement, as per 9.3 [Termination with Perpetual Rights].

  • Upon termination, a Member has the ability to exercise its rights under 2.2 [Perpetual Rights].

  • In the event that the Agreement is terminated, or the Publisher no longer offers the Licensed Materials online, the Licensee and Participating Institutions may use the backup copy to exercise their rights under Section 12 (Perpetual Rights) of this Agreement.

  • In the event that this Agreement is terminated, or the Publisher no longer offers the Licensed Materials online, the Licensee and Participating Institutions may use the backup copy to exercise their rights under Section 12 (Perpetual Rights) of the Agreement.

  • In the event that the Agreement is terminated, or the Licensor no longer offers the Licensed Materials online, Licensee may use the backup copy to exercise Licensee’s rights under section XII, Perpetual Rights, of this Agreement.

  • In the event that the Agreement is terminated, or the Licensor no longer offers the Licensed Materials online, the Licensee and Participating Institutions may use the backup copy to exercise their rights under Section 12 (Perpetual Rights) of this Agreement.

Related to Perpetual Rights

  • Original Rights shall have the meaning set forth in Section 1(f)(i) hereof.

  • Membership Rights means all of the rights of a Member in the Company, including a Member’s: (a) Interest; (b) right to inspect the Company’s books and records; (c) right to participate in the management of and vote on matters coming before the Company; and (d) unless this Operating Agreement or the Certificate of Formation provide to the contrary, right to act as an agent of the Company.

  • Commercial Rights means any and all rights of a commercial nature connected with the Event including, without limitation, broadcasting rights, sponsorship rights, merchandising and licensing rights, ticketing rights, promotional rights, catering and hospitality rights, New Media rights and interactive games rights;

  • Governance Rights means all of a Member's rights as a member of the LLC other than Financial Rights.

  • Public Rights-of-Way means the area on, below, or above a public roadway, highway, street, public sidewalk, alley, waterway, or utility easements dedicated for compatible uses.
