The Client understands that the Licensed Software Programs will not restrict the number of Person Records, and that exceeding the Person Record Ceiling shall be subject to additional fees at Contractor’s then-current commercial rates.
Contractor retains the right to provide notice of security breaches as necessary to comply with applicable privacy laws and regulations, and – except where such breach is caused by the actions, errors, or omissions of Contractor – Client shall be responsible for all reasonable costs of notifying the Client's employees, Authorized Users, or other individuals contained in its Person Records of a security breach.
Client warrants that the Person Record Ceiling is an accurate estimate as of the Effective Date, and agrees to inform Contractor of any anticipated or actual increase to the number of Person Records in excess of the Person Record Ceiling.
