PI Rights definition
PI Rights all rights in any Intellectual Property or Know-how owned or controlled by or at the free disposal of PI, other than the MIT Agreement, or any Affiliate of PI at the date of this Agreement which relate to Cathepsin S and the Project.

PI shall pay (i) all expenses (including reasonable attorneys' fees) incurred in connection with any such suit, action or proceeding and (ii) any actual damages and costs finally awarded against the infringing party as the result of any such suit, action or proceeding, or the amount payable in any settlement of any such suit, action or proceeding to the extent either arise from the PI Rights.
