  • During the period of performance of the Joint Development Program (the “Pilot Phase”), the objective is to demonstrate the ability to manufacture Bio-BDO via the Bioprocess using cellulosic sugars generated from Biomass feedstocks via the PROESA™ Process Technology in the Pilot Plant Facility.

  • The equipment and instrumentation, together with the Pilot Plant Facility, shall be accessible, upon reasonable prior notice, to ESA employees assigned to support the Joint Development Program.

  • Notwithstanding the foregoing, ESA acknowledges and agrees that it is solely responsible for ensuring all operations at the Pilot Plant Facility (including all operations relating to the Joint Development Program) comply with applicable safety, health and environmental laws, regulations and standards.

  • At Closing, Buyer and Seller shall enter into the Personnel Services Agreement for the Tulsa Pilot Plant Facility which is attached as Schedule N.
