There are no financial standards or disclosure requirements. A wide spectrum of companies are traded on this market, including foreign companies that limit their disclosure in the U.S., penny stocks and shells, as well as distressed, delinquent, and dark companies not willing or able to provide information to investors. The Pink Market is for professional and sophisticated investors with a high risk-tolerance for trading companies with limited information available and limited regulatory oversight.

  • As an inducement to, and to obtain the reliance of Sky, subject to such exceptions as are specifically disclosed in the disclosure schedules (referencing the appropriate section and paragraph numbers) supplied by Incumaker to Sky on the date hereof (the “Disclosure Schedule”), and the all forms, reports, schedules, statements, and other documents required to be filed by the Company under the Alternative Reporting Standard of the OTC Pink Open Market.

  • Except with respect to its movement from the OTCQB to the Pink Open Market in June, 2019 the Company has not, in the 12 months preceding the date hereof, received notice from any Trading Market on which the Common Stock is or has been listed or quoted to the effect that the Company is not in compliance with the listing or maintenance requirements of such Trading Market.

  • For purposes of this Note, "VWAP" shall mean the daily dollar volume-weighted average sale price for Common Stock on the Pink Open Market or other market operated by OTC Markets Group, Inc.

  • SMGI has not, since the date its Common Stock began trading on the Pink Open Market, received any notice from OTC Markets or FINRA or any trading market on which SMGI’s Common Stock is or has been listed or quoted to the effect that SMGI is not in compliance with the quoting, listing or maintenance requirements of the Pink Open Market or such other trading market.

  • SMGI’s Common Stock shall remain quoted and eligible for trading on the Pink Open Market.

  • The Common Stock is not registered pursuant to Section 12(b) of the Exchange Act, but is registered on the OTC Pink Open Market and the Company has taken no action designed to, or which to its Knowledge is likely to have the effect of, terminating the registration of the Common Stock pursuant to the Exchange Act nor has the Company received any notification that the Commission is currently contemplating terminating such registration.

  • If Company is listed on the OTCQX, OTCQB, or OTC Pink Open Market at any time while the Agreement is in effect, Company authorizes and instructs Agent to provide the following information to the OTC Markets Group Inc.

  • Buyer is a publicly traded company with a class of securities quoted on OTC Markets Group’s Pink Open Market under the symbol “BZWR”.
