PIPE Shares means the 40,000,000 shares of Class A common stock to be sold to PIPE Investors pursuant to the PIPE.

PIPE Shares means the 12,500,000 shares of Common Stock issued to the one of the Investors pursuant to that certain Subscription Agreement, dated as of July 8, 2019, by and between Pubco and such Investor.

• As used herein, “Standard Settlement Period” means the standard settlement period, expressed in a number of Trading Days, on the Company’s primary Trading Market with respect to the Common Stock as in effect on the date of delivery of a certificate representing PIPE Shares issued with a restrictive legend.

PIPE Shares means the Holdco Ordinary Shares (1) issuable to the EverArc Subscribers in exchange for the EverArc Ordinary Shares purchased by them pursuant to the EverArc Subscription Agreements, (2) purchased by the Management Subscribers pursuant to the Management Subscription Agreements and (3) purchased by the Director Subscribers pursuant to the Director Subscription Agreements.

PIPE Shares mean shares of the Company’s Common Stock purchased in the PIPE Investment.

PIPE Shares has the meaning set forth in the recitals to this Agreement.

PIPE Shares means an aggregate of 12,500,000 shares of common stock issued to the subscribers in the PIPE.
