Pipeline Lease means that certain Pipeline System Lease by and between the Borrower and LCP Terminals for rights under that certain franchise granted by the City of Portland to Paramount of Oregon to construct, operate and maintain a pipeline system in the City of Portland, as the same may be amended, restated or otherwise modified from time to time.

Pipeline Lease means the Intrastate Pipeline System Lease, dated as of December 31, 1996, by and between the Pipeline Lessor and the Pipeline Lessee.

• The Buyer's Pipeline Lease Guaranty shall be substantially in the form of the Pipeline Lease Guaranty, with the Buyer as guarantor; provided, however that Section 11 thereof shall be of no force or effect as long as the Pipeline Lease Guaranty is in full force and effect.

• Following the distribution of the MGP Pipeline to CMGI, and subject to FERC approval, the proposed sale by CMGI to the MGP Pipeline Lessee/Operator of all of the Equity Interests in MGP and the contemporaneous execution of the MGP Pipeline Lease.
