PLACEMENT MANAGER means Income Network Company, a California corporation, and an NASD Broker/Dealer which is an Affiliate of the General Partner and selected by the General Partner to sell the Units. 3.24 "SALES COMMISSIONS" shall mean those amounts paid to NASD Broker/Dealers selected by the General Partner as compensation or reimbursement for their services and expenses in marketing the Units. 3.25 "SUBSTITUTED LIMITED PARTNER" shall mean a transferee of Units who has succeeded to all the rights of a Limited Partner inherent in the ownership of Units. 3.26 "SYNDICATION FEE" shall mean the fee paid to the General Partner equal to 3% of the Gross Proceeds. 3.27 "TOTAL OUTSTANDING UNITS" shall mean all Units outstanding at a specified date. 3 4 3.28 "UNIT" shall mean an interest in the Partnership representing a capital contribution of $5,000 in cash and shall entitle the holder thereof to an interest in the income, gains, losses, deductions, credits and distributions of the Partnership.

In the event a Special Committee is formed, the term “Independent Manager” shall, as the context requires, refer generically to each Independent Manager.

  • Placement Agents shall have the meaning set forth in the preamble.
