Settlement Time means any time within two Business Days immediately following the Creation Order Date or the Redemption Order Date, as applicable.
Payment Time means the time when a Stock Retainer is payable to a Participant pursuant to Paragraph 5 hereof (without regard to the effect of any Deferral Election).

Option Closing Time means 8:00 a.m. (Toronto time) on any Option Closing Date or such other time on any Option Closing Date as the Company and the Underwriters may agree;

Closing has the meaning set forth in Section 2.2.
First Closing has the meaning set forth in Section 2.1(a).
Initial Closing shall have the meaning ascribed to such term in Section 2.1.
Anticipated Closing Date means the anticipated closing date of any proposed Qualified Sale Transaction, as determined in good faith by the Board of Directors on the Applicable Date.
Placement Agreement means the Placement Agreement relating to the offering and sale of Capital Securities in the form of Exhibit C.
First Closing Date shall refer to the time and date of delivery of certificates for the Firm Shares and such Optional Shares). Any such time and date of delivery, if subsequent to the First Closing Date, is called an “Option Closing Date,” shall be determined by the Representatives and shall not be earlier than three or later than five full business days after delivery of such notice of exercise. If any Optional Shares are to be purchased, each Underwriter agrees, severally and not jointly, to purchase the number of Optional Shares (subject to such adjustments to eliminate fractional shares as the Representatives may determine) that bears the same proportion to the total number of Optional Shares to be purchased as the number of Firm Shares set forth on Schedule A opposite the name of such Underwriter bears to the total number of Firm Shares. The Representatives may cancel the option at any time prior to its expiration by giving written notice of such cancellation to the Company.
Offer Closing Date has the meaning set forth in Section 1.01(f).
Placement Agents shall have the meaning set forth in the preamble.
Delivery Time means the time for Delivery stated in the Purchase Order.
Acceptance Time has the meaning set forth in Section 2.1(a).
Transfer Time means, in relation to any Subsequent Account Holder’s Entry, the time at which such Entry is credited to his Securities Account.
Central Clock Time or "CCT" means Central Daylight Time when Daylight Savings Time is in effect and Central Standard Time when Daylight Savings Time is not in effect.
Prime Time in the Emergency Department is defined as the months of June, July and August and December.
