Formal Placing Agreement The parties to the Placing Term Sheet agree to proceed to negotiate and with the view to finalise detailed terms and conditions of the Formal Placing Agreement based on the provisions of the Placing Term Sheet following the execution of the Placing Term Sheet as soon as possible and in any event no later than 30 days from the date of the Placing Term Sheet, or such later date as the parties may otherwise agree in writing.
The number of the Placing Shares will be established in the Bookbuilding process and announced by the Company through a Regulatory Information Service (the “ Placing Results Announcement”) following the completion of the Bookbuilding process and the entry into the Placing Term Sheet by the Company and the Joint Bookrunners.
If the Company confirms that it wishes to proceed with the Placing, the Bookrunner and the Company shall as soon as practicable thereafter enter into the Placing Term Sheet.
