Plan Client definition
Plan Client is defined in Section 3.1.15 of this Agreement.
Plan Client means any client with respect to an Advisory Account that is either (a) an employee benefits plan subject to the fiduciary responsibility provisions of ERISA or (b) a “plan” subject to Section 4975 of the Code, in each case, to which the Seller or any of its Affiliates acts as a fiduciary pursuant to Section 3(21) of ERISA and/or Section 4975 of the Code. 114399-0014/143865664.11

Examples of Plan Client in a sentence
With respect to any Plan Client, the Company has conducted its activities and provided such services in material compliance with the applicable requirements of ERISA, Section 4975 of the Code and/or Similar Law, as applicable.
The Company has not knowingly caused a Plan Client to engage in any non-exempt prohibited transaction under Section 406 of ERISA or Section 4975 of the Code.
More Definitions of Plan Client
Plan Client means any Client or any Fund with respect to which the Company or any of its Affiliates provides or, within the preceding six years, has provided, Investment Management Services, that is (a) an “employee benefit plan” within the meaning of Section 3(3) of ERISA (whether or not subject to the provisions of Title I of ERISA), (b) a “plan” within the meaning of Section 4975 of the Code (whether or not subject to the provisions of Section 4975 of the Code), or (c) an entity or account that is deemed to hold the assets of any such “employee benefit plan” or “plan” pursuant to the Plan Asset Regulation or other applicable Law.
Plan Client shall have the meaning set forth in Section 4.31(a).
