Plan of Exchange definition

Plan of Exchange has the meaning set forth in Section 2.01.

Plan of Exchange means any agreement, plan or arrangement under which an outstanding Option may be surrendered in exchange for a newly granted Option with a lower exercise price or other terms which differ from the terms of the Option surrendered.
