No Company has, in the three (3) years prior to the date of this Agreement, implemented any plant closing or mass layoff of employees as those terms are defined in the Worker Adjustment Retraining and Notification Act of 1988, as amended (the “WARN Act”), or any similar state or local Plant Closing Law or regulation and no layoffs that are reasonably likely to implicate such Laws or regulations are currently contemplated.
Should, however, any liability result for any reason in connection with the transactions contemplated herein under the Federal Plant Closing Law, the Seller shall indemnify and will hold Purchaser harmless from such liability and from any other costs and expenses resulting from such event.

The Co-Borrowers have no actual knowledge of any noncompliance with respect to all Requirements of Law (including, without limitation, the Plant Closing Law and/or the Fair Labor Standards Act) applicable to the Co-Borrowers and their business which noncompliance could reasonably be expected to result in a Material Adverse Effect.
