Platform Company definition

Platform Company means any Operating Company (including, for the avoidance of doubt, any Wholly-Owned Operating Company) in the life science sector or related technology field and focused on the development and commercialization of specific drug products or enabling technologies, and in which a Loan Party has made and maintains an Investment (whether by capital contribution, the acquisition of the Equity Interests thereof or in connection with a joint venture, corporate collaboration or similar corporate structure) in accordance with the terms of this Agreement, its Organizational Documents and consistent in all material respects with such Loan Party’s past practices, including each such Person in which a Loan Party has made or maintains an Investment as of the Closing Date identified on Schedule 1 hereto and excluding each such Person identified on Schedule 1 hereto under the designation “No” as a Platform Company.
Platform Company means any Operating Company in the life science sector and focused on the development and commercialization of products, and in which a Borrower has made an Investment (whether by capital contribution, the acquisition of the Equity Interests thereof or in connection with a joint venture, corporate collaboration or similar corporate structure) in accordance with the terms of this Agreement, its Organizational Documents and consistent in all material respect with past practices, including each Operating Company in which Borrower maintains an Investment as of the Closing Date.
Platform Company means any Operating Company in the life science sector and focused on the development and commercialization of products, and in which a Borrower has made an Investment (whether by capital contribution, the acquisition of the Equity Interests thereof or in connection with a joint venture, corporate collaboration or similar corporate structure) in accordance with the terms of this Agreement, its Organizational Documents and consistent in all material respect with past practices, including each Operating Company in which Borrower maintains an Investment as of the Closing Date; provided that no Restricted Foreign Subsidiary shall constitute a Platform Company. Notwithstanding the foregoing or any other provision to the contrary, upon the effectiveness of any Joinder Agreements as required under Section 7.13(c), only PellePharm and Eidos shall be each considered a “Platform Company” under this Agreement and the other Loan Documents, and all other Subsidiaries upon the effectiveness of the Joinder Agreements as required under Section 7.13(c), shall be considered “Qualified Subsidiaries” under this Agreement and the other Loan Documents.

  • You acknowledge and agree that in using the Platform, Company will not be responsible for the actions of any Users with respect to any other User or User Content, and that Company does not actively monitor or police the specific interactions between Users of the Platform and other Users or User Content (and has no obligation to do so).

  • There is no decree, order, judgment, agreement, stipulation, arbitral award or other provision entered into in connection with any litigation or proceeding that obligates any Borrower, Qualified Subsidiary or, to Borrowers’ knowledge, Platform Company to grant licenses or ownership interest in any future material Intellectual Property related to the operation or conduct of the business of any Borrower, Qualified Subsidiary or Platform Company or to any Products.

  • As of the Closing Date, no Equity Interests of a Qualified Subsidiary or a Platform Company are owned by a Borrower indirectly through a Subsidiary of such Borrower.


More Definitions of Platform Company

Platform Company and “Platform Companies” have the meaning assigned in Section 11.2.
Platform Company means a company that offers under Section 403(b)(7) of the Internal Revenue Code of 1986, custodial accounts that hold only qualified non-annuity investment products issued and registered with TRS by a certified company.

Platform Company means any Portfolio Company that the General Partner in its sole discretion determines shall be the starting point for follow-on acquisitions made by the Partnership or such Portfolio Company, of other companies in the same industry or market space.
