PM Finance definition

PM Finance means PM Finance, Inc., a corporation organized and existing under the laws of the Province of Alberta. PPSA shall mean the Personal Property Security Act as in effect in the Provinces of Ontario, Alberta and Saskatchewan, as applicable. Pre-Settlement Determination Date shall have the meaning set forth in Section 2.8 hereof. Prime Rate shall mean, for any day, the rate of interest in effect for such day as publicly announced from time to time by Administrative Agent as its prime rate (whether or not such rate is actually charged by Administrative Agent), which is not intended to be Administrative Agent’s lowest or most favorable rate of interest at any one time. Any change in the Prime Rate announced by Administrative Agent shall take effect at the opening of business on the day specified in the public announcement of such change; provided that Administrative Agent shall not be obligated to give notice of any change in the Prime Rate. PrivateBank shall have the meaning set forth in the preamble hereof.
