  • Each of PMI and K▇▇▇▇▇ covenants and agrees that it will use commercially reasonable efforts to ensure that the Lock-Up Agreements to be executed by their respective directors and officers with respect to their respective PMI Meeting and K▇▇▇▇▇ Meeting, as the case may be, are executed and delivered and the proxies or voting instruction forms with respect to such Lock-Up Agreements have been submitted at least three days prior to such meetings.
