POC Financial Statements definition

POC Financial Statements means, collectively: (a) the audited consolidated balance sheet of Schlumberger's gas compression business as of December 31, 2000, and the related consolidated statement of income, stockholders' equity and cash flows for the year then ended Appendix I-6 and the accompanying notes thereto attached hereto as SCHEDULE 2.11, (b) the unaudited consolidated balance sheets of each of Harwat and WilPro as of December 31, 2000, and the related consolidated statements of income, stockholders' equity and cash flows for the year then ended and the accompanying notes thereto attached hereto as SCHEDULE 2.11, and (c) the unaudited pro-forma consolidated balance sheet of POC as of December 31, 2000 and related consolidated unaudited pro-forma statement of income, stockholders' equity and cash flows for the year then ended attached hereto as SCHEDULE 2.11 as adjusted to reflect solely those assets and liabilities of the POC Companies being sold pursuant to this Agreement.
