POS Software definition

POS Software means the Oracle point of sale device software in object code only that is installed on the Terminals.
POS Software means any and all rights that Sellers possess to any owned or licensed software that the Sellers utilize in the operation of the Restaurants pursuant to the POS Agreements or which has been internally developed in connection with the interpretation of information generated by the POS equipment leased by the Sellers pursuant to the POS Agreements. 24. "Restaurant Leases" are the leases of land and building or land, building and equipment, including without limitation, the leases between ARDC and AROC relating to certain of the Restaurants, together with any and all amendments thereto, which leases are listed on Schedule 7 hereto and true, correct and complete copies of which have been made available to RTM and Holdco, or will be made available to RTM and Holdco as soon as is reasonably practical, but in any event at least ten days prior to the Final Date. 25. "Transaction Documents" means this Agreement and any and all documents called for herein to be executed by any Seller, RTM, Holdco, Newco One or Newco Two and/or third parties, including, but not limited to, the Licenses, the Guaranty (as hereinafter defined), the Security Documents (as defined in the Guaranty) and all other closing delivery items called for in Paragraphs 6.2 and 7.2 hereof. Accordingly, in consideration of the mutual covenants and agreements contained herein, and intending to be legally bound, the parties hereto agree as follows: ARTICLE II

  • You acknowledge and understand that provisioning of the Software will enable static or dynamic IP addresses associated with the POS Software Monitor to be scanned.

  • You further acknowledge that such IP addresses may be for external network devices which protect the POS Software Monitor host system.

  • You hereby grant us or our vendors, the right to retrieve, transmit and monitor, for the intended purpose of the POS Software Monitor, any dynamic or static IP address and other data, including without limitation policy and system settings, point of sale system type, version, security event logs, or other related information, from any system with the POS Software Monitor loaded, deployed, or otherwise installed.

  • Subject to the terms and conditions of this Addendum, we agree to provide you with the POS Software Monitor software application, including all updates, upgrades, new versions, and other enhancements or improvements thereto (the "Software"), to the extent the applicable fees are paid.

  • You acknowledge and understand that the POS Software Monitor, in our sole discretion, can automatically install, download, and/or deploy updated and/or new components ("update process"), which may include a new version of the POS Software Monitor itself.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Font Software means software or instructions which, when used on an appropriate device or devices, generates typeface and typographic designs and ornaments. Font Software shall include all Subsets and bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades or updates (each of which may be provided to you by Monotype in its sole discretion), related files, permitted modifications, permitted copies, and related documentation.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Customer Software means software which is owned by or licensed to the Customer, including software which is or will be used by the Supplier for the purposes of providing the Goods and/or Services but excluding the Supplier Software;
