Power Seller or "Power Sellers" means the party or parties with which Seller has contracted for the purchase of Power or the provision of transmission facilities or services under each of the Commitments.

  • Pursuant to this Agreement and the Stock Power, Seller shall convey to the Company good and marketable title in and to the Shares.

  • The Power Seller shall pay to the Power Purchaser the reactive compensation electricity fees for the reactive insufficiency.

  • All fees and expenses arising therefrom shall be borne by the Power Seller.

  • The Power Seller shall be responsible for the daily maintenance and other management of the metering devices, and ensure that the metering devices will not suffer from any damage and the seals and stamps are kept complete and intact.

  • In the event that the Power Purchaser fails to inform the Power Seller of any dissidence within six (6) Working Days after having received the facsimiles, they shall be deemed as having been confirmed with no dissidence.

  • Any expenses and fees arising therefrom shall be borne by the Power Seller.

  • The Power Seller and the Power Purchaser agree to keep their original materials and records respectively so as to facilitate the reasonable checking of the statements and records or the examination of the accuracy of calculations in accordance with this Contract.

  • After being amended by the Parties through consultation, the amended Electricity Output Settlement Sheet and Electricity Fees Billing Sheet shall be sent to the Power Purchaser through facsimiles by the Power Seller and the originals of them shall be sent as an express mail on the same day.

  • On or before January 31 of each calendar year, Seller shall submit a written proposed maintenance schedule of significant Facility and/or Transmitting Entity maintenance for that calendar year and Idaho Power, Seller and the Transmitting Entity shall mutually agree as to the acceptability of the proposed schedule.
