GSK recognizes that, while GSK is Santarus’ licensee of Licensed Products in the GSK Territory pursuant to this Agreement, GSK could, subject to Section 6.1 and this Section 6.2, develop a PPI Pharmaceutical Product which would, once launched, compete with Santarus with respect to the Licensed Products.
During the Term, prior to the third (3rd) anniversary of the Effective Date, neither Santarus nor any of its Affiliates will directly or indirectly distribute, market, promote, detail, advertise or sell any PPI Pharmaceutical Product containing one or more PPIs which is either formulated in combination with one or more buffering agents, or which is otherwise formulated to provide, in either case, for immediate release of the PPI (other than PR Product pursuant to this Agreement) in or for the Territory.
During the Term, neither Norgine nor any of its Affiliates or Sublicensees will directly or indirectly develop, distribute, market, promote, detail, advertise or sell any PPI Pharmaceutical Product in the Territory other than Licensed Products pursuant to this Agreement.
The pre-discipline process is intended to provide the accused member with an opportunity to present a written or oral response to the Chief of Police after having had an opportunity to review the supporting materials and prior to imposition of any recommended discipline.
Santarus’ obligation to provide Negotiation Notices under this Section 4.10 with respect to any given country shall terminate, on a country-by-country basis, at such time, if any, as Schering or its Affiliate markets, or seeks Marketing Approval for, a PPI Pharmaceutical Product in such country, or acquires rights therefor from a Third Party.
GSK recognizes that, while GSK is Santarus’ distributor of PR Product in the Territory pursuant to this Agreement, GSK could, subject to Section 2.6.1 and this Section 2.7, develop a PPI Pharmaceutical Product which would, once launched, compete with Santarus with respect to the PR Product outside the Territory.
