PPO Shares definition

  • The PPO Shares constitute all of the issued and outstanding Equity Interests in PPO.

  • The Placement Agent shall not offer the Series A Stock of the PPO Shares to any prospective Subscriber (i) if the Placement Agent has reason to believe that material information supplied or the representations and warranties made by that person are not fully accurate; or (ii) unless immediately prior to making such offer, the Placement Agent reasonably believes that such person is an “accredited investor” as defined in Rule 501 promulgated under the 1933 Act.

  • The Company shall exercise best efforts in timely filing a Form D with respect to the offer and sale of the PPO Shares as required under Regulation D.

  • No co-sale right, right of first refusal or other similar right exists with respect to the PPO Shares or the issuance and sale thereof.

  • During the Effectiveness Period, as long as any Purchaser owns any Registrable Securities, if the Parent is not required to file reports pursuant to such laws, it will prepare and furnish to the Purchasers and make publicly available in accordance with Rule 144(c) such information as is required for the Purchasers to sell the PPO Shares and the shares of Parent Common Stock issuable upon exercise of the PPO Conversion Warrants under Rule 144.

  • The day that the Pre-Bridge Offering Period terminated is hereinafter referred to as the “Pre-Bridge Termination Date.” The offering period for the PPO (the “PPO Period”) shall commence on the day the Offering Documents are first made available to the Placement Agent by the Company for delivery in connection with the PPO (the “Delivery Date”) and shall continue until the earlier to occur of: (i) the sale of all of the PPO Shares; or (ii) 90 days following the Delivery Date.
