The Purchaser shall have twenty (20) Business Days from the date on which it receives the Preemptive Notice to agree to purchase its Pro Rata Amount of such New Securities for the Preemptive Price and upon the general terms specified in the Preemptive Notice by giving written notice to the Company and stating therein the quantity of New Securities to be purchased by any such Person.
The Company shall give the Pre-empting Shareholder written notice of its intention to issue and sell New Securities in a Financing Transaction, describing the type of New Securities, the price range in which such New Securities are intended to be sold (the "Pre-emptive Price Range") and the general terms and conditions upon which the Company proposes to issue the same.
Each of the other Stockholders shall have 10 business days from the date on which it receives the Preemptive Notice to agree to purchase its pro rata portion of such New Securities for the Preemptive Price and upon the general terms specified in the Preemptive Notice by giving written notice to the Company and stating therein the quantity of New Securities to be purchased by such Stockholder.
In the event (and on each occasion) that the Company shall decide to undertake an issuance of New Securities to MDC and/or its Affiliates, the Company will give all Stockholders written notice (a "Preemptive Notice") of the Company's decision, describing the type of New Securities, the Preemptive Price, and the general terms upon which the Company has decided to issue the New Securities (including, without limitation, the expected timing of such issuance which will in no event exceed 60 days).
PPI in the case of an issuance by either the Company or Plastics, and Plastics in the case of an issuance by the Company, shall have twenty (20) days from the date on which they receive the Preemptive Notice to agree to purchase their Pro Rata Amount of such New Securities for the Preemptive Price and upon the general terms specified in the Preemptive Notice by giving written notice to the Issuer and stating therein the quantity of New Securities to be purchased by any such Person.
