Preferred Unpaid Yield definition

Preferred Unpaid Yield means, for any Class A Preferred Unit at any time, the amount equal to the excess, if any, of (a) the aggregate Preferred Yield accrued on such Class A Preferred Unit as of such time, over (b) the aggregate amount of all Distributions made by the Company in respect of such Class A Preferred Unit pursuant to Section 7.02(a) as of such time.
Preferred Unpaid Yield means, with respect to each Preferred Unit, as of any date, an amount equal to the accrued and unpaid distributions pursuant to Section 4.2(a) (taking into account any Tax Distributions treated as advances of such distributions) on such Preferred Unit (calculated, for the avoidance of doubt, using the Preferred Rate assuming such payment is made in cash), regardless of whether such amount would be allowed under applicable law (including under any insolvency or bankruptcy laws).
Preferred Unpaid Yield means, for any Standard Preferred Unit at any time, the amount equal to the excess, if any, of (a) the aggregate Standard Preferred Yield accrued on such Standard Preferred Unit as of such time, over (b) the aggregate amount of all Distributions made by the Company in respect of such Standard Preferred Unit pursuant to Section 7.02(a) as of such time. For purposes of clarity, any SAFE converted into SAFE Preferred Units pursuant to the applicable SAFE Agreement shall not have any Preferred Unpaid Yield, nor shall any such Preferred Unpaid Yield by payable to the holder of such SAFE subsequent to the conversion of such SAFE into SAFE Preferred Units.
