Preliminary Offering Circulars definition
Preliminary Offering Circulars means (i) the first Preliminary Offering Circular, dated October 10, 2012, with respect to the Notes and (ii) the Second Preliminary Offering Circular, dated November 27, 2012, with respect to the Notes.
Preliminary Offering Circulars means the Senior Notes Preliminary Offering Circular and the Convertible Notes Preliminary Offering Circular. “Final Offering Circulars” means the Senior Notes Final Offering Circular and the Convertible Notes Final Offering Circular. “Offering Circulars” means, as of any date or time referred to in this Agreement, the most recent offering circulars (whether the Preliminary Offering Circulars or the Final Offering Circulars, and any amendment or supplement to such documents), including, without limitation, exhibits and schedules thereto.

Dealer agrees to furnish a copy of any revised Preliminary Offering Circular to each person to whom it has furnished a copy of any previous Preliminary Offering Circular and further agrees that it will itself mail or otherwise deliver all Preliminary Offering Circulars and the Offering Circular required for compliance with the provisions of Regulation A under the Securities Act.
The Company agrees to pay for expenses incurred in distributing Preliminary Offering Circulars and Offering Circulars (including any amendments and supplements thereto) to the Purchasers and for the reasonable fees and expenses of counsel to the Purchasers.
