Premises Commencement Date. The earlier of: (i) the date Landlord has Substantially Completed Tenant's Finish Work with respect to the Phase 3 Premises, or (ii) the date Landlord would have Substantially Completed Tenant's Finish Work with respect to the Phase 3 Premises, but for a Tenant Delay. Premises Commencement Date means September 1, 2007. As used herein, the phrase “Suite B Premises Rent Commencement Date” shall mean the date that is one (1) month after the Suite B Premises Commencement Date. Notwithstanding anything in the Lease to the contrary, effective on and after the Suite B Premises Commencement Date, the word “Premises,” whenever such word appears in the Lease as amended by this Second Amendment shall mean, collectively, the Original Premises, the First Amendment Premises and the Suite B Premises.

• In addition to the Original Premises, commencing on the Expansion Premises Commencement Date (as defined below), Landlord leases to Tenant, and Tenant leases from Landlord, the Expansion Premises.

• In addition to the Existing Premises, commencing on the Second Expansion Premises Commencement Date (as defined below), Landlord leases to Tenant, and Tenant leases from Landlord, the Second Expansion Premises.

• During any period that Tenant shall enter the Additional Premises prior to the Additional Premises Commencement Date to perform Work under Exhibit B hereto, or to install telecommunications and computer cabling, equipment and furniture, Tenant shall comply with all terms and provisions of the Lease, except that the Additional Premises Commencement Date shall not occur based on such early possession for such purposes.

• The “Additional Premises Rent Commencement Date” shall be the Additional Premises Commencement Date.

• Effective as of the New Premises Commencement Date, Tenant shall release any claims that it may have against Landlord with respect to any matters arising under the Lease relating to the Original Premises, other than claims that may arise for indemnification with respect to injury to persons or property occurring thereon prior to or on the New Premises Commencement Date.

• Landlord shall use reasonable efforts to deliver (“Delivery” or “Deliver”) the Expansion Premises to Tenant on or before the Target Expansion Premises Commencement Date.

• On the Additional Premises Commencement Date, the Additional Premises shall be added to the Premises under the Lease, and all terms and conditions then or thereafter in effect under the Lease shall apply to the Additional Premises, except as provided to the contrary herein.

• If the Additional Premises Commencement Date does not occur at the beginning of an applicable payment period under the Lease, Landlord shall reasonably pro rate Tenant’s payment obligations on a per diem basis.
