Premium Shares definition

Premium Shares means, collectively, the Commitment Premium Shares and the Ticking Premium Shares.
Premium Shares. Units representing shares ("Premium Shares") will be credited to an account for the Participant as a reward for certain acquisitions of shares, as follows:
Premium Shares means Units credited to a Participant’s Deferral Account as calculated under Section 4.3(b), which are initially subject to forfeiture as provided in Section 6.2 or Section 6.3.

  • Failure to provide such advance notice shall result in any Premium Shares that are not Vested Shares being forfeited and transferred to the Company, for no consideration, upon Retirement.

  • Such Investor is acquiring its Investor Shares (including the Commitment Premium Shares) for its own account, not as a nominee or agent, and not with the view to, or for resale in connection with, any distribution thereof not in compliance with applicable securities Laws, and such Investor has no present intention of selling, granting any participation in, or otherwise distributing the same, except in compliance with applicable securities Laws.

  • In the event of Retirement, any Bonus Shares that are not then Vested Shares prior to such Retirement, except for Premium Shares, shall become Vested Shares upon such Retirement; in order to vest in Premium Shares upon Retirement, Participant must have provided the Company with at least six (6) months’ advance notice of Participant’s intent to retire.

  • Reorganized Chesapeake shall timely make all filings and reports relating to the offer and sale of the Unsubscribed Shares, Put Option Premium Shares, Rights Offering Shares and Warrant Shares issued hereunder required under applicable securities and “Blue Sky” Laws of the states of the United States following the Closing Date.

  • Seller and Selling Agent each hereby covenants that it will not sell any Premium Shares pursuant to the Prospectus during a Selling Pause.

  • In addition, in the event a Participant sells or otherwise disposes of other purchased shares in respect of which Premium Shares were credited, all of the Participant's unvested Premium Shares shall be immediately forfeited.

  • Issuer consents to the use of the Prospectus (and of any amendment or supplement thereto) in accordance with the provisions of the Act and with the securities or Blue Sky laws of the jurisdictions in which the Premium Shares are offered by Sellers and by all dealers to whom Premium Shares may be sold.

  • All conditions to the consummation of the issuance of the New Common Stock (including the Rights Offering Common Stock, the Backstop Shares and the Put Option Premium Shares) and the New Second Lien Loans (including the Rights Offering New Second Lien Loans and the Unsubscribed New Second Lien Loans), other than receipt of payment from the Investors of their portion of the purchase price in respect of the Backstop Commitment, shall have been fulfilled.

  • The Trustees shall have no duty or power to confirm or verify any Retired Employee Premium Shares.


More Definitions of Premium Shares

Premium Shares has the meaning set forth in Section 2.1(d).
Premium Shares means Shares credited to a Participant's Deferral Account which are initially subject to forfeiture as provided in Section 6.2 or Section 6.3.
